Terms of Service

1. Introduction

Welcome to ManagerBay (referred to as “ManagerBay,” “we,” “us” or “our”). These Terms and Conditions (the “Terms”) govern your access to and use of ManagerBay’s websites and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

We may modify these Terms occasionally. When we make material changes, we will post the updated Terms and indicate the date of revision. Your continued use of the Services after changes are effective constitutes acceptance of the updated Terms.

2. Account Registration and Eligibility

1. Eligibility. You must be at least 18 years old to use ManagerBay. The Services are intended solely for adults; we do not seek to collect or provide services to children. By using the Services, you represent that you have the legal capacity to enter into these Terms and, if you are accepting these Terms on behalf of an entity, that you are authorized to do so. One person is eligible for one account only.

2. Registration. ManagerBay uses LinkedIn single sign‑on for account creation and login. You may register and log in only through your LinkedIn account; no alternative login methods are provided. When you authenticate via LinkedIn, ManagerBay obtains your LinkedIn‑verified email address and profile image to create and maintain your account. Your ManagerBay account remains connected to your LinkedIn profile, and you agree that we may update your account information based on data provided by LinkedIn. You are responsible for maintaining the security of your LinkedIn credentials and for complying with LinkedIn’s terms of service.

3. Account Responsibility. You are solely responsible for your conduct and any content you provide. You agree to comply with all applicable laws and regulations.

3. User Content and Licensing

ManagerBay allows users to post, upload, publish, submit or otherwise transmit content such as text, images or other materials (collectively, “User Content”). You retain ownership rights in your User Content but grant ManagerBay and other users certain rights to use it as described below.

1. License to ManagerBay. By submitting, posting or displaying User Content through the Services, you grant ManagerBay a non‑exclusive, worldwide, royalty‑free, fully paid and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display your content (including any name, username or likeness provided in connection with your content) in all media formats and distribution methods now known or later developed within the Services. This license is solely for the purpose of operating, promoting and improving the Services.

2. Content Responsibility. You are responsible for your User Content and must have all necessary rights (including intellectual‑property, privacy and publicity rights) to post it. Do not post content that infringes or misappropriates others’ rights or causes us to violate any law. ManagerBay may remove or disable User Content alleged to infringe intellectual‑property rights and may terminate repeat infringers. We respond to copyright notices consistent with applicable law.

3. Account Deletion and Content Removal. You may delete your ManagerBay account at any time through your profile settings. Deleting your account will remove your User Content from our active database and disable your profile. However, residual copies of your content may remain in backups for a limited period or as required by law. Deletion of your content does not relieve you of any obligations or liabilities incurred under these Terms.

4. Prohibited content and enforcement

We may remove content, restrict visibility, suspend or terminate accounts at our discretion, particularly to protect the Services or the community. Following content is prohibited:

4.1. Violence and Hateful content. Content promoting violence, harassment or hatred against people based on characteristics such as race, ethnicity, national origin, religion, caste, disability, disease, age, sexual orientation, gender identity or other protected traits is prohibited. Do not post content that threatens, encourages or incites violence.

4.2. Harassment. Bullying, threatening, mocking or shaming others; engaging in repetitive or targeted campaigns; or using ManagerBay’s features to annoy or harass is not tolerated.

4.3. Restricted Categories. ManagerBay prohibits content that promotes illegal or harmful activities such as gambling or betting, sales of social media interactions, facilitation of sexual services, intellectual‑property violations, or hacking. Gratuitously graphic or disturbing media and pornographic images or videos are also prohibited. Content encouraging or glorifying self‑harm (such as cutting, eating disorders or suicide) is not allowed. Do not impersonate others, use misleading metadata, link to malicious software, or otherwise deceive users

4. Platform Features

ManagerBay offers a variety of features designed to support the professional community of managers, leaders and contributors. These features include:

Posts and Articles. Users can publish posts or articles to share insights, experiences and resources. Posts may include text, images or other media, subject to these Terms.

Comments and Responses. Users can comment on and respond to posts. Comments must adhere to these Terms and may be removed or moderated at our discretion.

Learning Resources and Templates. ManagerBay supports the sharing of documents, links and other resources. You are responsible for ensuring that you have the right to share any resources you upload.

Communities. Users may suggest communities focused on project management.

Job Offers. ManagerBay hosts a job board where users can post and discover job opportunities. ManagerBay is not an employer or recruitment agency and does not guarantee any job outcome. You are solely responsible for the accuracy of job listings and for complying with applicable employment laws.

ToolsDirectory. Users can add listing of software tools they use, to their profile. ManagerBay does not endorse or warrant the quality or suitability of Tools posted by users.

Votes and Ratings. Posts, comments and Tools may be subject to voting or rating by the community. We may change how voting works at any time to improve the Service.

Points and Leaderboards. ManagerBay may award points based on user contributions (e.g., posting articles, commenting, or receiving votes). Accumulated points may be displayed on leaderboards. Points are for recognition only, have no monetary value, and cannot be exchanged for goods or services. We may modify, reset or discontinue the points system or leaderboards at any time.

These features may evolve over time. We may add, modify or discontinue features in our sole discretion and without notice to you.

5. Paid Promotions and Earning disclosure

ManagerBay does not operate a general membership program. All core Services described above are available free of charge. The only paid feature we offer is the promotion of a Tool listing.

As stated above, some tools listed on ManagerBay might be promoted based on paid promotion or as affiliate scheme. Every product that has paid promotion or is promoted as part of affiliate scheme is tagged with badge “sponsored”.

6. Data Processing and Privacy

Our Privacy Policy explains how we collect, use, share and protect your information. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Third‑Party Content and Services

ManagerBay may provide information about or links to third‑party products, services or content (collectively, “Third‑Party Content”). Such content is provided for your convenience and does not imply endorsement. We do not control Third‑Party Content and make no representations or warranties regarding it. You access Third‑Party Content at your own risk.

8. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless ManagerBay, its affiliates and their officers, directors, agents, partners and employees from and against any losses, liabilities, claims, demands, damages, expenses or costs (including attorneys’ fees) arising out of or related to (a) your User Content; (b) your violation of these Terms or any applicable laws; (c) your infringement of any rights of another, including intellectual‑property or privacy rights; or (d) your use or misuse of the Services. ou agree to cooperate with ManagerBay in defending any such claims and that ManagerBay retains the right to control the defense and settlement of any claim.

9. Disclaimers and Limitation of Liability

1. As‑Is Services. The Services and all content provided through them are offered on an “as is” and “as available” basis without warranties of any kind, either express or implied. ManagerBay does not guarantee that the Services will be error‑free, accurate, reliable or uninterrupted. Your use of the Services is at your sole risk.

2. No Warranty. We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, title and non‑infringement. No advice or information, whether oral or written, obtained from ManagerBay or through the Services will create any warranty.

3. Limitation. Except where prohibited by law, ManagerBay and its affiliates will not be liable for any indirect, consequential, incidental, special, punitive or exemplary damages, or loss of profits or data, arising out of or in connection with the Services or these Terms, even if we have been advised of the possibility of such damages.

9. Governing Law and Dispute Resolution

1. Informal Resolution. We want to address your concerns without litigation. Before filing a claim against ManagerBay, you agree to attempt to resolve the dispute informally by sending a written notice with your name, contact information, nature of the claim and the desired resolution to adam@managerbay.com

2. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to its conflict of law principles.

3. Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be resolved by the competent courts of the Slovak Republic.
